Terms of Service

1. The service
NoteAssist is a charting buffer that transcribes voice notes and structures them into clinical-shorthand fields you copy into your own EMR. NoteAssist is not an EMR and is not a system of record.
2. Eligibility & account
You must be 18 or older and a licensed practitioner or staff of a licensed practitioner to use NoteAssist for clinical purposes. You are responsible for keeping your password secret and for all activity under your account.
3. No PHI — you are responsible for compliance
You agree not to upload, dictate, type, or otherwise enter any Protected Health Information (PHI) as defined under HIPAA, nor equivalent identifiable health information protected under any applicable law, into NoteAssist. This includes but is not limited to patient names, dates of birth, addresses, phone numbers, emails, social security numbers, medical record numbers, insurance information, and patient photographs.
You acknowledge that NoteAssist does not currently sign Business Associate Agreements (BAAs), is not a HIPAA Business Associate, and is not held out as HIPAA-compliant. You are solely responsible for your own compliance with HIPAA and any other applicable laws and regulations governing your practice, including your obligations as a covered entity. You agree to indemnify and hold harmless NoteAssist and its operators from any regulatory action, fine, claim, or damage arising from your entry of PHI in violation of these terms.

4. Retention & export
Notes auto-delete 7 days after creation by default. You may extend retention to 30 days once per note. It is your responsibility to copy any note you wish to retain into your own EMR before it is deleted. NoteAssist is not liable for data loss resulting from automatic deletion.
5. Acceptable use
You will not use NoteAssist for unlawful purposes, attempt to reverse-engineer or interfere with the service, abuse rate limits, or use the service in a way that violates the rights of others.
6. Subscription, billing, refunds
Paid subscriptions are billed monthly via Stripe. You may cancel at any time; cancellation takes effect at the end of the current billing period. Refunds are issued at our discretion for billing errors or service outages. To request a refund, email support@noteassist.app.
7. No medical advice, no warranty
NoteAssist transcribes and structures what you say. It does not provide medical advice, diagnosis, or treatment. The output may contain errors. You are solely responsible for reviewing every note for clinical accuracy before relying on it. The service is provided "as is" and "as available," without warranties of any kind, express or implied.
8. Limitation of liability
To the maximum extent permitted by law, NoteAssist's total liability for any claim arising from or relating to these terms or the service is limited to the amount you paid for the service in the 12 months preceding the claim. NoteAssist is not liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, or loss of data.
9. Termination
We may suspend or terminate your account for violation of these terms, including any entry of PHI, abuse, fraud, or non-payment. You may close your account at any time from the dashboard.
10. Governing law & arbitration
These terms are governed by the laws of the state in which the NoteAssist operating entity is registered, without regard to conflict-of-law principles. Any dispute will be resolved by binding individual arbitration; you waive any right to a jury trial or to participate in a class action. 11. Changes
We may update these terms. Material changes will be communicated by email or through the service. Continued use after changes means acceptance.
